Welcome to HYVE (“Platform”), operated by HYVE WORKS PVT. LTD. (“HYVE”, “we”, “us”, or “our”). By accessing or using the Platform, you (“User”, “Client”, “Freelancer”, or “Team Member”) agree to be bound by these Terms and Conditions (“Terms”).

Platform Overview

HYVE is a digital platform that connects businesses (“Clients”) with independent professionals (“Freelancers”) and teams for project-based work. HYVE facilitates collaboration, communication, and payment processing between Users.

HYVE acts solely as an intermediary and does not provide the underlying services offered by Freelancers or Teams.

User Eligibility

You must be at least 18 years old to use the Platform.
You agree to provide accurate and complete information during registration.
You are responsible for maintaining the confidentiality of your account.

Nature of Relationship

HYVE is not a party to any agreement between Clients and Freelancers.

Freelancers and Teams are independent service providers.
No employment, partnership, or agency relationship is created between HYVE and any User.

Project Engagement & Team Structure

Clients may engage individual Freelancers or Teams for projects.

Teams may define internal roles and revenue distribution among members.
HYVE is not responsible for internal agreements within Teams.

HYVE Secured Payment

To facilitate secure transactions, HYVE provides a system referred to as “HYVE Secured Payments.”

5.1 Payment Process

Clients are required to fund project milestones in advance.
Funds are held temporarily by HYVE in its designated accounts.
Payments are released to Freelancers/Teams only upon Client approval of the milestone.

5.2 Important Disclaimer

HYVE Secured Payments is not an escrow service.
HYVE does not operate as a licensed escrow agent or financial institution.
HYVE acts solely as a payment facilitator.

Commission and Fees

HYVE charges a platform commission of 10% from Clients on each transaction.

Applicable taxes (including GST) are charged on HYVE’s commission.
Payment gateway fees may also apply.

Payements, Payouts and Split Distributions

Payments to Freelancers or Teams are processed after milestone approval.
For team projects, payouts are distributed based on predefined percentage splits.
Team leaders are responsible for defining and confirming distribution among members.
HYVE executes payouts based on these defined splits.

Taxations

Freelancers are responsible for their own tax compliance, including GST registration if applicable.
HYVE will issue invoices for its commission charges.
Freelancers are responsible for issuing invoices to Clients for their services.
HYVE may deduct applicable taxes (such as TCS) where required by law.

Disputes

Clients must review and approve or raise concerns before approving a milestone.
Once a milestone is approved, payments are considered final.
HYVE may, at its discretion, assist in dispute resolution but is not obligated to do so.

Arbitration

Unresolved disputes shall be settled via arbitration under Indian law.

Prohibited Activities

Users agree not to:

Engage in fraudulent or illegal activities
Circumvent the Platform to avoid fees
Misrepresent identity or credentials
Abuse or harass other Users

Limitation of Liability

HYVE is not responsible for the quality, delivery, or outcome of services.
HYVE shall not be liable for indirect, incidental, or consequential damages.
HYVE’s liability is limited to the amount of commission earned for the relevant transaction.

Termination

HYVE reserves the right to suspend or terminate accounts for:

Violation of these Terms
Fraudulent activity
Misuse of the Platform
Connecting or closing the deal with a client outside the platform and breaching the platform’s utility.

Intellectual Property

All platform content, branding, and technology belong to HYVE. Users may not reproduce or misuse any part of the Platform.

Freelancers retain ownership until full payment.
Upon payment, IP transfers to the client unless agreed otherwise.

Governing Law

The laws of India shall govern these Terms. Jurisdiction: Pune, Maharashtra.

Changes to this Terms

HYVE reserve the right to update or change this Terms and Conditions at any time. Any changes will be posted on this page, and the effective date will be updated accordingly. We encourage you to review this Terms and Conditions periodically for any updates.
